Terms and Conditions

1. Acceptance of Terms

By accessing or using Futforce’s services (the “Platform”, “Service”, or “Software”) – including the AI agent Fora – you agree to be bound by these Terms & Conditions (“Terms”). If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Definitions

  • Customer / Client – The organization that subscribes to the Platform for use by its employees.

  • User / Authorized User – An individual authorized by the Customer to use the Service.

  • Service / Platform – Futforce’s software, APIs, dashboards, and the AI agent Fora, as made available under a subscription.

  • Content / Customer Data – Data, materials, text, files, or other content uploaded or provided by the Customer or Users.

  • Subscription – The right to use the Platform during a billing period under a plan, subject to limitations and payment.

3. License & Use

3.1 License Grant
Subject to these Terms, Futforce grants you a non‑exclusive, non‑transferable, revocable license to access and use the Service during the Subscription term, solely for your internal business purposes.

3.2 Usage Restrictions
You agree not to:

  • Reverse engineer, decompile, or attempt to derive source code from the Platform

  • Circumvent or attempt to bypass security measures

  • Use the Service beyond the scope granted (e.g. share with unauthorized third parties)

  • Upload or transmit unlawful, infringing, malicious, or harmful content

  • Use bots, scrapers, or automated means to access parts of the Platform not intended for them

  • Remove or alter any proprietary rights notices on the Platform

3.3 User Accounts & Access
You are responsible for maintaining the confidentiality of user accounts and passwords. You must notify us immediately of any unauthorized use or breach.

4. Fees, Billing & Termination

4.1 Fees & Payment
You will pay the subscription fees as set in your Order Form or pricing plan. All amounts are in the currencies specified, exclusive of taxes.

4.2 Late Payment & Suspension
If payment is overdue more than [15] days, we may suspend your access to the Service. You remain liable for ongoing fees.

4.3 Term & Renewal
Your subscription begins on the effective date and renews automatically unless you cancel as per prior notice requirements.

4.4 Termination
Either party may terminate for cause if the other materially breaches these Terms and fails to cure within [30] days. Upon termination, we may delete or anonymize your data per our retention policy.

5. Customer Data & Ownership

5.1 Your Ownership
You retain all rights, title, and interest in your Content / Customer Data.

5.2 Processing & Use
You grant Futforce rights to process your Data as necessary to provide the Service (e.g. via AI, workflows, analytics).

5.3 Feedback License
Any feedback or suggestions you provide may be used by Futforce freely, royalty‑free, without obligation to you.

6. Confidentiality

Each party shall keep the other’s confidential information (e.g. trade secrets, technical documentation, pricing) in strict confidence and not disclose it except to permitted parties or as required by law.

7. Warranty & Disclaimers

7.1 Limited Warranty
Futforce warrants that the Service will perform materially in accordance with documentation.

7.2 Disclaimer
Except as expressly stated, the Service is provided “as is” and Futforce disclaims all implied warranties (merchantability, fitness for a purpose, non‑infringement).

8. Limitation of Liability

To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, punitive, or consequential damages. Futforce’s total liability (for any claim) shall not exceed the subscription fees paid in the preceding [12 months].

9. Indemnification

You agree to indemnify and hold Futforce harmless from claims arising from your breach of these Terms, your use of the Service, or your violation of any rights of a third party.

10. AI / Automated Features

Since the Platform includes an AI agent (Fora):

  • Scope & Permissions: Fora acts only within the permissions you configure.

  • Audit & Traceability: All prompts, responses, and actions taken by Fora are logged for accountability.

  • Guardrails: We enforce filters and safeguards to prevent misuse or exposure of sensitive data.

11. Changes to the Terms

We may update these Terms. We will provide notice and the “Last Updated” date. Continued use after changes constitutes acceptance.

12. Governing Law & Dispute Resolution

These Terms are governed by United States LAw. Disputes shall be resolved in the courts located in Houston, Texas, United States of America., unless otherwise agreed.

13. Miscellaneous

  • Severability: If any term is invalid, the rest remain in effect.

  • Assignment: You may not assign these Terms without our consent; Futforce may assign to affiliates.

  • Force Majeure: Excuses delays due to events beyond control (e.g. disasters, outages).

  • Entire Agreement: These Terms (plus Order Forms, pricing, SLA, DPA) constitute the full agreement.
